The Signtel Interpreter Software License Agreement IMPORTANT - READ BEFORE COPYING, INSTALLING, PURCHASING OR USING.

The following license is for proprietary intellectual property of SignTel, Inc. ("SignTel Software") and the following license applies:

Do not use or load this SignTel Software and any related or associated materials thereof including any and all third party software and their respective end-user licenses which are in addition to the SignTel Software ("Third Party Software") incorporated herein by reference as a Master License Agreement encompassing both SignTel Software and Third Party Software (collectively, the "Software") until you have carefully read the following terms and conditions regarding the Software. By loading or using the Software, you agree to the terms of this Agreement. In the event that this license Agreement for the Software or any parts or definitions of it will be found to be in conflict or inconsistent with any other licenses of third parties, definitions or portions thereof that are part of the Software, SignTel License Agreement for the SignTel Software will take precedence and priority and will prevail. If you do not wish to so agree, do not install or use the Software.

LICENSE. You may install the Software onto a single computer and you may make a single back-up copy of the Software, subject to these conditions:

You may not copy, modify, rent, sell, distribute or transfer any part of the Software except as provided in this Agreement, and you agree to prevent unauthorized copying of the Software.

You may not reverse engineer, decompile, or disassemble the Software and in addition be subject to all the terms and conditions under the LICENSE as described hereinunder.

The Software may contain the software and other property of third party developers or suppliers, some of which may be identified in, and licensed as specified herein.

You shall indemnify, hold harmless, and defend SignTel and its suppliers from and against any claims or lawsuits, including attorney's fees, that arise out of or result from your use of the Software.

YOU ALSO ACCEPT AND AGREE THAT THE SIGNTEL INTERPRETER IS NOT INTENDED TO REPLACE A LIVE INTERPRETER AND ITS INTENDED USAGE IS WHEN A LIVE INTERPRETER IS NOT AVAILABLE FOR ORDINARY AND NON-EMERGENCY INTERPRETING NEEDS. YOU HEREBY ACKNOWLEDGE AND AGREE THAT THE SIGNTEL INTERPRETER IS NOT TO BE USED IN SITUATIONS WHERE BODILY HARM MAY OCCUR AND/OR LIFE THREATENING AND/OR LIFE ALTERING SITUATIONS. THE SIGNTEL INTERPRETER SHOULD NOT BE USED OR RELIED UPON WHEN BODILY HARM OR LIFE THREATENING INJURIES COULD OCCUR FROM DELAYED INTERPRETATIONS, MISINTERPRETATIONS, WRONG TRANSLATIONS AND/OR MALFUNCTIONING OF THE UNIT OR ANY OF ITS HARDWARE AND/OR SOFTWARE COMPONENTS. YOU HEREBY AGREE TO HOLD SIGNTEL HARMLESS, INDEMNIFY SIGNTEL AND DEFEND SIGNTEL FROM AND AGAINST ANY AND ALL CLAIMS, ALL CAUSES OF ACTION, ALL THREATS OF CLAIMS, AND/OR ALL THERATS OF ACTIONS, INCLUDING, BUT NOT LIMITED TO, ATTORNEY'S FEES AND COSTS, RESULTING FROM THE USAGE OR ATTEMPTED USAGE OF THE SIGNTEL INTERPRETER BY ANY AUTHORIZED OR UNAUTHORIZED USER OF THE SIGNTEL SOFTWARE AND/OR THE HOUSING AND ANCILLARY HARDWARE OF THE INTERPRETER UNIT. YOU FURTHER AGREE TO INDEMNIFY, HOLD HARMLESS, AND DEFEND SIGNTEL AND ITS SUPPLIERS FROM AND AGAINST ANY CLAIMS OR CAUSES OF ACTION, INCLUDING, BUT NOT LIMITED TO, ATTORNEY'S FEES AND COSTS, THAT ARISE OUT OF OR RESULT FROM YOUR USE OF THE SOFTWARE AND THE HARDWARE.

OWNERSHIP OF SOFTWARE AND COPYRIGHTS. Title to all copies of the Software remains with SignTel. The Software is copyrighted and/or patented and protected by the laws of the United States and as appropriate also other countries, and international treaty provisions. You may not remove any copyright notices from the Software. SignTel may make changes to the Software, or to items referenced therein, at any time without notice, but is not obligated to support or update the Software. Except as otherwise expressly provided, SignTel grants no express or implied right under SignTel patents, copyrights, trademarks, or other Intellectual property rights. You may transfer the Software only if the recipient agrees to be fully bound by these terms and conditions and if you retain no copies of the Software.

LIMITED MEDIA WARRANTY. If the Software has been delivered by SignTel or its assigns on physical media, SignTel warrants the media to be free from material physical defects for a period of ninety days after delivery by SignTel or its assigns. If such a defect is found, return the media to SignTel for replacement or alternate delivery of the Software as SignTel may select.

EXCLUSION OF OTHER WARRANTIES. EXCEPT AS PROVIDED ABOVE, THE SOFTWARE IS PROVIDED "AS IS" WITHOUT ANY EXPRESS OR IMPLIED WARRANTY OF ANY KIND INCLUDING WARRANTIES OF MERCHANTABILITY, NONINFRINGEMENT, OR FITNESS FOR A PARTICULAR PURPOSE. SignTel does not warrant or assume responsibility for the accuracy or completeness of any information, text, graphics, links or other items contained within the Software.

LIMITATION OF LIABILITY. IN NO EVENT SHALL SIGNTEL OR ITS SUPPLIERS BE LIABLE FOR ANY DAMAGES WHATSOEVER (INCLUDING, WITHOUT LIMITATION, LOSS OF LIFE OR BODILY INJURY, LOST PROFITS, BUSINESS INTERRUPTION, OR LOST INFORMATION) ARISING OUT OF THE USE OF OR INABILITY TO USE THE SOFTWARE, OR INAPPROPRIATE TRANSLATION OF TEXT OR VOICE INTO SIGN LANGUAGE AND/OR TEXT INTO VOICE EVEN IF SIGNTEL HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. SOME JURISDICTIONS PROHIBIT EXCLUSION OR IMITATION OF LIABILITY FOR IMPLIED WARRANTIES OR CONSEQUENTIAL OR INCIDENTAL DAMAGES, SO THE ABOVE LIMITATION MAY NOT APPLY TO YOU, HOWEVER, YOU ARE REQUIRED IN SUCH, ANY AND ALL CASES TO INFORM SIGNTEL ABOUT ANY SUCH OCCURRENCE IMMEDIATELY UPON SUCH OCCURANCE AND WITHOUT ANY DELAY WHATSOEVER. YOU MAY ALSO HAVE OTHER LEGAL RIGHTS THAT VARY FROM JURISDICTION TO JURISDICTION.

TERMINATION OF THIS AGREEMENT. SignTel may terminate this Agreement at any time if you violate its terms. Upon termination, you will immediately destroy the Software or return all copies of the Software to SignTel.

APPLICABLE LAWS. Claims arising under this Agreement shall be governed by the laws of the State of Connecticut, excluding its principles of conflict of laws and the United Nations Convention on Contracts for the Sale of Goods. You may not export the Software in violation of applicable export laws and regulations. SignTel is not obligated under any other agreements unless they are in writing and signed by an authorized representative of SignTel.

GOVERNMENT RESTRICTED RIGHTS. The Software is provided with "RESTRICTED RIGHTS." Use, duplication, or disclosure by the Government is subject to restrictions as set forth in FAR52.227-14 and DFAR252.227-7013 et seq. or its successor. Use of the Software by the Government constitutes acknowledgment of SignTel's proprietary rights therein. Contractor or Manufacturer is SignTel, Inc., 79 Bayard Avenue, North Haven, Connecticut 06473.

You will not modify, adapt, sublicense, translate, sell, rent, lease, lend, give away, donate, transmit, reverse engineer, decipher, decompile, duplicate images, or otherwise disassemble or assemble any portion of the Signtel Interpreter, Signtel Interpreter VR, SignTel®'s web site or any software used on or for the Site or cause others to do so. These restrictions are incorporated by reference to the Terms & Conditions of the Signtel Interpreter and Signtel Interpreter VR software and supersede any conflicting statements therein.

By clicking 'I ACCEPT' below for accepting this License Agreement that is also followed below by accompanying License Agreements of some of the other related Third Party Software ("Related Third Party"), you agree to the terms and conditions as specified herein. If you disagree, DO NOT ORDER THE SOFTWARE.

By accepting this license, you also agree to accept the following third party licenses:

Ligos: Do not use or load this software and any associated materials (collectively, the "Software") until you have carefully read the following terms and conditions. By loading or using the Software, you agree to the terms of this Agreement. If you do not wish to so agree, do not install or use the Software.

LICENSE. You may copy the Software onto your organization's computers for your organization's use, and you may make a reasonable number of back-up copies of the Software, subject to these conditions:

The Software may contain the software and other property of third party suppliers, some of which may be identified in, and licensed in accordance with, an enclosed "license.txt" file or other text or file.

IN NO EVENT SHALL LIGOS OR ITS SUPPLIERS BE LIABLE FOR ANY DAMAGES WHATSOEVER (INCLUDING, WITHOUT LIMITATION, LOST PROFITS, BUSINESS INTERRUPTION, OR LOST INFORMATION) ARISING OUT OF THE USE OF OR INABILITY TO USE THE SOFTWARE, EVEN IF LIGOS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. SOME JURISDICTIONS PROHIBIT EXCLUSION OR LIMITATION OF LIABILITY FOR IMPLIED WARRANTIES OR CONSEQUENTIAL OR INCIDENTAL DAMAGES, SO THE ABOVE LIMITATION MAY NOT APPLY TO YOU. YOU MAY ALSO HAVE OTHER LEGAL RIGHTS THAT VARY FROM JURISDICTION TO JURISDICTION. THESE TERMS AND CONDITIONS SUPERSEDE THE TERMS AND CONDITIONS PROVIDED YOU WITH THE SIGNTEL INTERPRETER (VR).

Microsoft:

Microsoft products contained or referenced in the accompanying Microsoft packages or Microsoft License agreements have been integrated or pre-installed as part of SignTel Solution. Each Microsoft product is subject to its respective Microsoft End User License Agreement contained in the accompanying software packages or license agreements with the exception that the Microsoft product functionality as integrated in the SignTel solution may differ from a non-integrated Microsoft product and any issues concerning the functionality or performance of the SignTel solution and the Microsoft product should be directed to SignTel and not to Microsoft. Please be advised that if the accompanying Microsoft product software package is in the form of a "Microsoft License Pak," or a "Microsoft Open License" (as opposed to a full packaged product), the right to make additional copies of the Microsoft product has already been exercised by SignTel in integrating or pre-installing the Microsoft product in this solution. You may not, however, make additional copies of the product pursuant to the Microsoft License Pak or Microsoft Open License notwithstanding any license terms in such document. If you agree to be bound by the terms and conditions of the Microsoft End User License Agreements and this paragraph that apply to the integrated or pre-installed Microsoft Products, please press 'I ACCEPT' when ordering or the Enter key at the prompt below.
